DBiM User Service Agreement

Hello user, welcome to use DBiM platform services!

In order to better help users (or "you") use DBiM platform services, you should read and abide by this " DBiM User Service Agreement" (hereinafter referred to as "this Agreement"). This Agreement is a legal agreement between users and DBiM , and is a general term for users to register a DBiM account and use DBiM platform services or directly use DBiM platform services without going through the registration process. Please be sure to carefully read and fully understand the terms of this Agreement, especially the terms of exemption or limitation of liability, rights license and information content management, and dispute resolution terms such as jurisdiction and applicable law.Restrictions, disclaimers and other terms that affect your major rights and interests may be bolded or underlined in this Agreement to prompt you to read them carefully. If you do not agree to the terms of this Agreement, you should immediately stop the registration process or stop using DBiM platform services; if you continue to access and use DBiM platform services, it will be deemed that you have known and fully agreed to the terms of this Agreement.

In accordance with the Hong Kong Minors' Contracts Ordinance (Chapter 13) and Article 8 of the EU General Data Protection Regulation (GDPR), this platform does not provide services to minors under the age of 18. When you use the service, it is assumed that you have reached the legal age of civil capacity, and we have the right to pursuant to ISO/IEC 27018 Personally Identifiable Information Protection Standards to conduct real-name verification of abnormal accounts.

This Agreement may be updated from time to time as laws and regulations change and DBiM's business develops. However, we will not reduce your rights under this Agreement without your consent. We will issue updated versions on the DBiM platform and remind you of the updated content in an appropriate manner before it takes effect. Please visit the DBiM platform to keep up to date with the latest User Agreement.

If you have any questions, comments or suggestions about this Agreement, you can contact us through the customer service email ( service@dbim.com ) . In order to protect the interests of you and the relevant rights holders, DBiM has publicly provided users and relevant rights holders with abundant and convenient online and offline complaint channels. Based on fairness considerations among users, and also to enable users' complaints to be processed in a timely manner and avoid being automatically identified as spam by the system,DBiM will not receive and process all network infringement notices sent to individual employees of the company in the form of emails, and does not promise to give priority to email infringement notices sent to individual employees of the company. Please be informed .

the DBiM platform services without registering , it shall be deemed that you, as a party to this Agreement, have fully agreed to be bound by this Agreement. Please confirm again that you have known and fully understood all the contents of this Agreement before clicking and using the DBiM platform.

I. Definition

1. DBiM Platform (or “we” or “us”) refers to the DBiM website ( www.dbim.com ) and DBiM mobile application software (APP), “ DBiM Technology” WeChat applet, and interactive products in the exhibition hall and related fields provided to users, operated by DbiM Holdings Ltd and its affiliates. The services provided by the aforementioned DBiM Platform products are collectively referred to as “ DBiM Platform Services”.

2. The legal entity and qualified subject who registers or logs in to the DBiM platform and uses DBiM products or services, including but not limited to: legal entities, registered organizations, individuals with legal capacity, other entities with contracting qualifications, etc. Users are divided into registered users and unregistered users according to whether they have gone through the registration process. Registered users refer to users who use DBiM platform services or DBiM website materials after completing all registration procedures on the DBiM platform . Unregistered users refer to users who have not registered, directly log in to the DBiM platform, or enter the DBiM platform through other methods authorized by the DBiM platform , and directly or indirectly use DBiM platform services or DBiM website materials.

3. Parties to this Agreement. The parties to this Agreement include DbiM Holdings Ltd and its affiliates (collectively referred to as " DBiM "), and affiliates that provide technical services and consulting services for the DBiM platform as one party, and you as the other party.

II. Scope of Services and Validity of This Agreement

1. This Agreement is jointly concluded between you and DBiM Platform on an equal and friendly basis, and is legally binding on you and DBiM . You will be bound by this Agreement after you fill in the information as prompted on the registration page, read and agree to this Agreement, and complete all registration procedures, or when you actually use the DBiM Platform services in other ways authorized by DBiM . Unless otherwise provided by law or otherwise agreed in the agreement, this Agreement will remain valid while you become a registered user of the DBiM Platform or while you continue to use the DBiM Platform services.

2. In addition to the main text of this Agreement, the contents of this Agreement also include when you use a specific product or service of DBiM , the product or service may have a separate agreement, relevant business rules, announcements, help, instructions, general terms, etc. (hereinafter collectively referred to as "Rules"). All rules that DBiM has published or may publish in the future are an integral part of this Agreement and have the same legal effect as this Agreement. Unless otherwise expressly stated, any DBiM platform service is subject to this Agreement.

1) If you are an individual with legal capacity, you can obtain the products and services provided by the DBiM platform by pre-installing them on your device or obtaining, downloading and installing them from a third party authorized by us, or by actively accessing and browsing by entering the DBiM website domain name . We will develop different versions for different terminal devices, please choose according to the actual device situation. However, if you do not obtain the DBiM platform products and services from us or from a third party authorized by us, we cannot ensure that the unofficial version of the DBiM platform service can be used normally, and you will bear any losses incurred as a result. To avoid unnecessary risks and losses, please obtain the products and services provided by the DBiM platform from the DBiM official website or a third party authorized by us .

2) If you are an institutional user, after you purchase the DBiM platform service, we will authorize you to legally obtain and use the DBiM platform service. You can use the DBiM platform service by the institutional members (individuals with legal capacity) managed by you in accordance with the instructions provided by us and by assigning accounts, etc. You need to ensure that your representative has obtained your valid authorization when signing this agreement with the DBiM platform and provide the corresponding representative authority certificate. After your authorized representative signs this agreement, this agreement will be legally binding on you.

3. Considering the rapid development of Internet technology, the content of this Agreement may not fully cover all rights and obligations or may not be fully adapted to future changes in business functions. Therefore, in order to provide you with a better service experience and to be consistent with industry practices, DBiM will formulate and modify this Agreement and/or various rules from time to time in accordance with the update of laws and regulations, the expansion of business functions and the adjustment of DBiM platform service rules during your use of DBiM platform services , and inform you of the update of the aforementioned rules by means of website announcements. You have the right to choose whether to accept the updated DBiM platform services. If you continue to use DBiM platform services, you accept the revised agreement and rules; if you choose not to accept the update, some supplementary functions and services may be restricted or unavailable; if any disputes arise, you agree to be subject to the latest relevant agreement and rules of DBiM .

III. User Qualification and Account Registration

1. The DBiM platform services in other ways authorized by DBiM , you shall be an individual with independent contracting rights, a registered legal entity or a legal non-corporate entity with legal rights . If you do not have the aforementioned user subject qualifications, you and your parents or other legal guardians (hereinafter collectively referred to as "guardians") shall bear all consequences resulting therefrom. If you are a minor, please use the DBiM platform services under the consent and guidance of your guardian. If you obtain user subject qualifications by concealment or deception, DBiM has the right to unilaterally ban or cancel your account in accordance with laws and regulations. If DBiM suffers damages as a result, we have the right to claim compensation from your guardian.

2. You can register your personal account on the DBiM platform via email and complete the registration process by entering a verification code. You should ensure that the identity information you provide is true, accurate, legal and valid. You can refuse to provide it. If you choose to refuse to provide it, you may not be able to obtain the relevant services, but it will not affect your normal use of other services provided by the DBiM platform.

3. When you sign this Agreement and complete the registration process, DBiM will provide you with a uniquely numbered DBiM account. Your DBiM account is for your personal use only. You are responsible for the security of your user account, login password, payment password (if any), verification code, and for the actions performed through your account. Without a valid warrant from the Hong Kong Court and with the consent of DBiM , your user account may not be transferred, loaned, donated or inherited in any way (except for property rights related to the account), and your login password, payment password (if any) and verification code may not be provided or disclosed to any third party. Otherwise, DBiM has the right to terminate the service at any time due to your breach of the agreed use of the account, and take security measures including limiting functions, suspending updates, freezing or banning accounts, blocking content, stopping transmission and retaining records in accordance with laws and regulations depending on the severity of the circumstances; all losses caused to you (or DBiM , any third party) shall be borne by you (or compensated for), and DBiM shall not bear any responsibility.

4. If you find that anyone is using your account improperly or there are any other circumstances that may endanger the security of your account, you should immediately contact DBiM Customer Service and notify us to suspend or freeze the relevant services. You understand that it takes DBiM a reasonable amount of time to act on your request, and DBiM is not responsible for any consequences (including but not limited to any losses you suffer) that have occurred before taking action that is not due to DBiM's fault.

5. If you are an individual user , you can contact us through the customer service email or contact the platform customer service to apply for cancellation of your DBiM account. Before you cancel your account, we will verify your account status, etc., and respond and process within 15 working days after confirming that there are no pending orders or other outstanding matters. If you are an institutional user, please contact your corporate docking personnel to apply for account cancellation. You know and understand that account cancellation is irreversible. Once you apply for and successfully cancel your account, we will stop providing you with related services and delete all information, files or data associated with your account (except for archiving management in accordance with laws and regulations, regulatory requirements or corporate data archiving requirements). Your personal information and projects will not be able to be retrieved (even if you register again using the same mobile phone number).

IV. Personal Information Protection

1. Protecting your personal information is a basic principle of the DBiM Platform. You agree that the DBiM Platform will collect, use, store, manage and protect your personal information in accordance with this Agreement and the DBiM Privacy Policy. To protect the security of your personal information, we will use necessary security technologies and safeguards to protect your personal information from unauthorized access, use or disclosure.

2. DBiM may provide you with links through promotion or other means to allow you to access third-party services or websites. When you use the services of such third parties, you are subject to the terms of service and privacy policy of the third party, and you need to read their terms carefully. This Agreement applies only to information collected by the services provided by DBiM , and does not apply to any services provided by any third party or the third party's personal information processing rules. DBiM does not assume any responsibility for any third-party processing of personal information provided by you.

3. You acknowledge and agree that: DBiM is not responsible for the deletion or storage failure of information posted by users; unless otherwise provided by laws and regulations, DBiM does not retain your stored information indefinitely. When you terminate the use of DBiM platform services or cancel your DBiM account, DBiM will stop processing your personal information and delete or anonymize it in accordance with legal requirements.

4. We will revise the DBiM Privacy Policy from time to time based on the updates of DBiM platform services and publish it on the DBiM platform. The DBiM Privacy Policy constitutes an effective part of this Agreement. For more information on how we handle and protect your personal information, please refer to the DBiM Privacy Policy.

V. User Rights and Code of Conduct

1. By legally downloading, installing or accessing the DBiM platform, you can use the various services provided by DBiM in accordance with the DBiM platform rules and publish information content on the DBiM platform. The information you publish on the DBiM platform shall be deemed as public information, and you shall be responsible for the authenticity and legality of the information content you publish. If you need to obtain prior authorization or approval from the owner of the information content or any authorized third party, you should obtain such authorization or approval in advance; once you publish a certain information content, you will be deemed to have obtained such authorization or approval in advance (if necessary).

You may not publish any information that violates Hong Kong laws and regulations or social order and morality, including but not limited to:

1) Illegal information: content that endangers the constitutional order of Hong Kong , incites subversion of the central government or interferes in foreign affairs ; publishes symbols/code words with the intention of splitting the country ; deep fake materials that damage the reputation of others and terrorist financing propaganda materials that meet the definition of FATF recommendations ; uses end-to-end encrypted communications to engage in cross-border money laundering, manipulate securities markets, or dark web transactions that violate the United Nations Global Sanctions Regulations .

2) Harmful information: using exaggerated titles with content that is seriously inconsistent with the title; hyping up gossip, scandal, bad deeds, etc.; inappropriately commenting on natural disasters, major accidents and other disasters; containing sexual innuendos, sexual provocations, etc. that can easily cause people to have sexual associations; showing blood, horror, cruelty, etc. that cause physical and mental discomfort; inciting discrimination against groups or regions; promoting vulgar, banal, and kitsch content; may cause minors to imitate unsafe behaviors and behaviors that violate social ethics, and induce minors to develop bad habits, etc.; other content that has a negative impact on the network ecology.

3) Information that may endanger the safe operation of the network, including but not limited to: content containing links to phishing websites; links to websites containing Trojans or other viruses and related content; links to websites containing Trojans or other viruses and related content; content containing potential dangers, stealing user privacy, etc.; unreviewed external links, QR codes and other multimedia content that affect user experience or have been reported by a large number of users.

4) Unfair competition information, such as tampering, adding, subtracting, or deleting content with rights marks, or publishing content without third-party authorization.

5) Spam marketing information, such as meaningless content, simple repetitive content, marketing information that affects user experience or is reported by a large number of users and is promotional in nature.

6) Other information that violates laws, regulations, policies, social public morality, public order and good customs, or may interfere with the normal operation of the DBiM platform or infringe upon the legitimate rights and interests of any third party.

If you violate the information content publishing regulations described in this article, you agree that DBiM platform has the right to independently decide and may choose to delete the information content you posted in whole or in part without prior notice based on its own judgment or the need to comply with the law: suspend or terminate your use of DBiM platform services, including but not limited to restricting, freezing or closing your DBiM account, and you shall bear all consequences of the inability to use your DBiM account; appeal to the statutory competent authorities (including law enforcement agencies, regulatory agencies, etc.) to pursue the corresponding legal responsibilities. If you violate the content publishing regulations described in this article and cause any damage to any third party, you shall bear the responsibility independently; if DBiM platform and its affiliates suffer losses as a result, DBiM has the right to claim damages from you.

2. Pursuant to Section 14 of the Official Secrets Ordinance of Hong Kong, Article 19(2)(c) of the United Nations Convention on the Law of the Sea and the ISO 37001:2021 Anti-Bribery Management System Standard , you shall not engage in the following acts while receiving DBiM Platform Services:

1) DBiM in a manner that damages national security, social public interests, or violates laws, regulations, and social public order and good morals , including but not limited to: using DBiM services to implement "harmful mapping activities" as defined in Article 23 of the Hong Kong National Security Law (including but not limited to reconstructing the three-dimensional geographic data of military management areas through LiDAR point cloud modeling, and using multi-spectral sensors to collect thermal radiation characteristics of national defense science and technology units) ; it is strictly prohibited to use smart contract automation scripts to provide cross-chain fund transfer channels for dark web transactions (in accordance with the definition of FAT Virtual Asset Risk Guide VASP-R.15); it is prohibited to use federated learning nodes to process mapping-level geographic data that meets the Category 7 Entity List of the United Nations Global Sanctions Regulation, or to use differential privacy algorithms to circumvent the protection requirements for sensitive area image data in Article 64 of the Personal Data (Privacy) Ordinance; using DBiM products or services to provide assistance for illegal and criminal acts that are known or should be known; other uses of DBiM products or services in a manner that violates social public order, good customs, and the general public's common understanding ;

2) Any act that infringes upon the legitimate rights of individuals, registered legal entities or legal non-corporate entities with independent contracting rights, including the DBiM Platform, including but not limited to: publishing, transmitting, disseminating, storing content containing viruses, Trojans, time bombs, etc. that may cause damage to the DBiM Platform or affect its stability; using any third-party plug-ins, plugins, etc. without the permission of the DBiM Platform , which may interfere with, damage, or impose other influences on the normal operation of the DBiM Platform; publishing false information by creating false identities, maliciously creating and setting up accounts, and misleading or deceiving others; violating the activity rules published on the DBiM Platform page, and conducting false transactions through cheating or other means; making commercial use of any data on the DBiM Platform, and using the materials displayed on the DBiM Platform in any way such as copying and disseminating without the prior written consent of the DBiM Platform;

3) Conduct any acts that infringe intellectual property rights and other related legal rights, including but not limited to: collecting or processing images, photos, software and other data on the DBiM platform on a large scale or frequently through automated collection; disseminating or otherwise distributing files containing images, photos, software or other materials protected by intellectual property laws, including copyrights, trademarks, patents or protected trade secrets, unless the user enjoys or actually controls the corresponding rights or is authorized to disseminate and use them legally; using any content that contains information obtained through the use of this "Software" in a manner that infringes trademarks, copyrights, patents, trade secrets or other proprietary rights of any party; Reverse engineer, reverse assemble, compile or otherwise attempt to discover the source code of DBiM platform and services; modify or forge instructions , data or data packets in the operation of DBiM platform, add, delete or change the functions or operation effects of DBiM products, and disseminate or operate to the public through information networks; sell, rent, lend, distribute, transfer or sublicense software and services or related links or make profits from the use of software and services or the terms of software and services, whether or not it is direct economic or monetary gain, without the express written authorization of DBiM platform;

4) Carry out any behavior that endangers the security of computer networks, including but not limited to: illegally intruding into the network, interfering with the normal functions of the network, stealing network data and other activities that endanger network security; providing programs and tools specifically used to engage in activities that endanger network security, such as intruding into the network, interfering with the normal functions and protective measures of the network, stealing network data, etc.; knowing that others are engaged in activities that endanger network security, providing them with technical support, advertising promotion, payment settlement and other assistance; using unauthorized data or entering unauthorized servers/accounts; entering public computer networks or other people's computer systems without permission and deleting, modifying, or adding stored information; attempting to explore, scan, or test the weaknesses of the platform system or network without permission, or other acts that undermine network security; attempting to interfere with or undermine the normal operation of the platform system or website, deliberately spreading malicious programs or viruses, and other acts that undermine and interfere with normal network information services; forging TCP/IP data packet names or partial names;

3. You understand and agree that DBiM has the right to provide the necessary information such as the registration information and publishing records you fill out on the DBiM platform to the statutory competent authorities (including law enforcement agencies, regulatory agencies, etc.) upon their request .

4. You understand and agree that when you use the DBiM platform's virtual reality and other deep synthesis technologies and algorithms to produce, publish and disseminate images, audio and video or virtual scenes and other content ("deep synthesis information content"), the DBiM platform will authenticate your real identity information in accordance with relevant requirements, strengthen the management of deep synthesis information content, take necessary technical or manual methods to review your input data and synthesis results, and use prominent methods to mark the deep synthesis information content. You shall comply with laws and regulations including Chapter 579 of the Prevention of Child Pornography Ordinance of Hong Kong, Chapter IV of the EU Artificial Intelligence Act, Section 5(b) of the US Deep Fake Accountability Act, and ISO/IEC 24372:2023 International Standard on Artificial Intelligence Ethics, and shall not use deep synthesis technologies such as deep learning and virtual reality provided by the DBiM platform to produce, publish, or disseminate illegal and harmful information.

VI. Breach of Contract and Liability

1. In response to your violation of this Agreement or other terms of the Rules, DBiM has the right to independently judge and take measures such as early warning, refusal to publish, immediate suspension of information transmission, blocking of infringing content, short-term prohibition of publishing content, restriction of some or all functions until the termination of service provision, and permanent closure of the account, etc. DBiM does not need to obtain your consent or notify you in advance for the above-mentioned measures . DBiM does not bear any responsibility for the consequences of your inability to use the account and related services normally, inability to obtain assets or other rights in your account normally, etc. DBiM has the right to announce the results of the breach of contract on the DBiM platform in accordance with relevant laws and regulations and the provisions of this Agreement , and has the right to decide whether to restore the use of the relevant account based on the actual situation. If any suspected violation of the law is found, DBiM will keep the relevant records, report to the relevant regulatory authorities in accordance with the law and cooperate with the investigation; if it involves the use of the platform to carry out illegal and criminal activities , DBiM has the right to submit evidence and clues to law enforcement agencies.

2. If you violate this Agreement or other terms and conditions, resulting in complaints or lawsuits from third parties, you shall handle them on your own and bear all legal responsibilities that may arise from them. If DBiM is required to pay compensation to any third party or is punished by a legal jurisdiction due to your illegal or breach of contract behavior, you shall also fully compensate DBiM for all losses suffered as a result.

3. DBiM respects and protects the intellectual property rights, reputation rights, name rights, privacy rights and other legal rights of you and other users. You guarantee that the content uploaded when using the DBiM platform does not infringe any third party's intellectual property rights, reputation rights, name rights, privacy rights and other legal rights and interests. Otherwise, the company has the right to forward relevant notifications to you upon receiving notifications from the right holder or relevant parties, and take reasonable measures such as deletion, blocking, and disconnection of suspected infringing links. For all claims made by the right holder or relevant parties, if you claim that there is no infringing content, you should submit preliminary evidence of the absence of infringement to the DBiM platform in accordance with the law, otherwise you should handle it on your own and bear all legal responsibilities that may arise from it; if DBiM suffers losses (including but not limited to economic and goodwill losses) due to your infringement, you should also fully compensate DBiM for all losses suffered (including reasonable attorney fees).

VII. Paid Services

1. Some of the services on the DBiM platform are provided in a paid manner. The DBiM platform will inform you through a pop-up window or other reasonable means when you use the paid services. If you choose to use the paid services on the DBiM platform, please comply with the relevant fee agreements or rules, including the annex to this agreement or displayed separately on other pages.

2. You understand the particularity of the software technology products and services provided by DBiM . Therefore, before you pay, please carefully read the relevant agreements or rules of DBiM's paid services. Except for the circumstances stipulated in this agreement or rules, DBiM will not refund.

3. DBiM may change the charging standards and methods of paid services according to the actual needs of business development. DBiM may also change some previously free services to paid services. DBiM will notify or announce the corresponding service page within a reasonable period before the aforementioned changes or charging rules take effect. You can agree to the aforementioned changes or charging rules by continuing to pay for use; if you do not agree to the aforementioned changes or charges, please make corresponding arrangements in a timely manner and stop using the service after the changes or charging rules take effect.

VIII. Limitation of Liability and Exemption

1. We always uphold the " good faith " standard and conduct reasonable commercial efforts to review the basic qualifications and past operating conditions of third parties, but do not guarantee or warrant the services provided by third parties. The statements and actions of third parties, if inappropriate, do not represent our position or views. Therefore, when you use products or services provided by third parties on DBiM , in addition to complying with this Agreement, you should also comply with the third party's user agreement and other relevant rules. DBiM and third parties shall each bear their respective responsibilities for any disputes that may arise within the scope of legal provisions and agreements.

2. The DBiM platform, like other online websites, is also subject to various bad information, network security and network failure problems, including but not limited to:

1) Although DBiM will do its best to fulfill its obligations in Internet information content governance, other users may still publish fraudulent or false information, or make illegal remarks that contain insults, curses, slander, attacks, and other offensive and disgusting content;

2) Other users may post images, photos, texts and other materials that infringe upon your or other third parties’ intellectual property rights, portrait rights, name rights, reputation rights, privacy rights and/or other legal rights;

3) Faced with problems and threats such as hacker attacks, computer viruses, system crashes, network disconnections, slow Internet speeds, program vulnerabilities, etc.

You fully understand and agree that the aforementioned negative information, network security and network failure issues are not caused by DBiM or the DBiM platform. We will restore or repair the aforementioned issues in a timely manner within our capabilities, but any losses (including mental damage such as sensory discomfort) that may be caused to you will be borne by you, and DBiM does not need to bear any responsibility to you.

3. You agree that if you find that any content on this website does not comply with laws and regulations, or does not comply with the provisions of this Agreement, you have the obligation to notify DBiM in a timely manner . If you find that your personal information has been stolen or your legal rights have been infringed by other users or third parties, please inform DBiM of this and provide the following materials as completely as possible:

1) URL links, page screenshots or other clues and preliminary evidence that may lead to the information that infringes your rights;

2) Proof of your rights as the legal owner of the rights you are claiming;

3) Your personal identity information and effective contact information, including real name, ID number, address, telephone number and email address;

4) A copy of your ID card, business license and other relevant information.

If verified upon review, we will promptly delete, block or remove the relevant information in accordance with legal provisions. To ensure the effectiveness of infringement notifications, we only accept written infringement notifications by mail or email (email service@dbim.com ). In urgent cases, you can also inform DBiM through the platform customer service in advance , and we will take appropriate measures depending on the situation.

4. You understand and agree that DBiM shall not be liable for any damages resulting from any of the following circumstances, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses:

1) Use or failure to use DBiM platform services;

2) A third party uses your account or changes your data without your permission;

3) All expenses and losses arising from the purchase, acquisition of any services, data, information, etc. or any other actions or alternative actions through the DBiM platform or the establishment of online/offline transactions or service legal relationships with any third party;

4) Your misunderstanding of DBiM platform services;

5) DBiM platform services caused by force majeure or other reasons not attributable to DBiM .

5. You agree that promotional or publicity information, news, dynamics, etc. (collectively referred to as "Promotional Information", including commercial and non-commercial information) sent or provided to you by DBiM itself or by third-party service providers will be displayed during the use of DBiM platform services. Except as expressly provided by laws and regulations, you should carefully evaluate and rationally accept transactions based on such Promotional Information and be responsible for the consequences of the transactions . DBiM does not assume any responsibility for any loss or damage suffered by users due to transactions based on such Promotional Information or the content provided by the aforementioned third-party service providers.

6. DBiM is exempted from liability for the following force majeure (force majeure is an objective situation that cannot be foreseen, avoided or overcome): normal equipment maintenance of the information network, information network connection failure, computer, communication or other system failure, power failure, strikes, labor disputes, riots, uprisings, unrest, insufficient productivity or production materials, fire, floods, storms, explosions, war, government actions, orders of judicial and administrative agencies or inaction of third parties causing delays in service or failure to provide services.

7. You shall strictly abide by this Agreement and DBiM Rules, etc. You shall bear full responsibility for any losses caused to a third party or DBiM due to your violation of the Agreement or Rules .

8. DBiM reserves the legal right to refuse service, close user accounts, review, edit, remove user posted content or cancel orders at its sole discretion within the legal framework of the relevant jurisdiction.

IX. Service Change, Interruption or Termination of Agreement

1. You acknowledge and agree that the DBiM platform services are provided in accordance with the current status of what can be achieved with existing technology and conditions. DBiM will make every effort to ensure the security and continuity of the services, but due to objective reasons such as technical limitations, DBiM cannot foresee and prevent legal, technical and other risks at any time or all the time, including but not limited to service interruptions, non-normal use and other losses and risks that may be caused by force majeure, network reasons, third-party service defects, third-party websites, etc. Based on the security maintenance needs of the platform services, DBiM has the right to suspend the provision of some or all DBiM platform services to you , temporarily freeze your account, and resume it in time after the security issues are resolved, and promptly notify you of the facts of suspension, freezing and resumption. If the security issues of the website are caused by your illegal behavior, DBiM has the right to terminate the provision of some or all DBiM platform services to you, permanently freeze or close your account, and has the right to claim compensation from you for losses.

2. You agree that after the termination of the agreement between you and DBiM , DBiM still has the following rights:

1) In accordance with the data protection and e-commerce regulations of relevant jurisdictions (including but not limited to the General Data Protection Regulation), DBiM will retain necessary information such as information release records, transaction data and operation logs generated during your use of the platform services in accordance with the law.

2) If you commit any illegal acts or violate this Agreement and/or the Rules during your use of DBiM Platform Services, DBiM may still assert rights and pursue liability against you in accordance with this Agreement.

X. Intellectual Property Statement

1. " dbim.com ", " DBiM ", "Do Business In Metaverse" and other intellectual property rights of DBiM are protected by law and no one may use them without authorization. DBiM will pursue legal liability in accordance with the law for any infringement of the company's intellectual property rights .

2. The intellectual property rights of the services or content provided by the DBiM platform (including but not limited to software, technology, programs, web pages, text, pictures, images, audio, video, charts, layout design, electronic documents, etc.) and the information published (including but not limited to codes, text, charts, logos, button icons, images, sound file fragments, digital downloads, data editing and software) belong to DBiM and are protected by Chinese and international intellectual property laws as the property of DBiM or its content providers. All software on the DBiM platform is the property of DBiM or its software suppliers and is protected by Chinese and international intellectual property laws. Any authorized browsing, copying, printing and dissemination are all information content within the DBiM platform and shall not be used for any commercial purpose, and all use of information content must include this copyright statement.

3. The content you upload when using the DBiM platform services (including but not limited to text, pictures, videos, audio and other forms of content information) are all original or legally authorized (including sub-licensing). The intellectual property rights of the content you upload through the DBiM platform belong to you or the original right holder. Unless otherwise agreed or proven by contrary evidence, you acknowledge and agree that you grant DBiM the global, free, and exclusive rights (including but not limited to the rights of reproduction, distribution, rental, exhibition, performance, screening, broadcasting, information network dissemination, filming, adaptation, translation, compilation and other property rights that should be enjoyed by the right holder) for the content generated by your use of the DBiM platform services (including but not limited to user questions and answers, evaluations, user consultations, various types of information, knowledge, encyclopedias, opinions, topic articles and other information content). The scope of use of the above rights includes but is not limited to use on the current or other websites, applications, products or terminal devices. You acknowledge and agree that DBiM has the right to use and otherwise develop the content in any publicity, promotion, advertising, marketing and/or research related to the above content, DBiM platform services, and DBiM brands, or by authorizing a third party to do so. The user agrees and fully understands the terms of this Agreement and promises not to publish the information published on the DBiM platform in any form or authorize other entities to use it in any way (including but not limited to use on various websites and media).

4. This Agreement constitutes a valid rights licensing arrangement under the copyright laws of the relevant jurisdictions, and its legal effect covers all copyrighted content (including but not limited to text, images, audio-visual materials, etc.) published by users through the DBiM Platform, regardless of whether such content was produced before or after the entry into force of this Agreement.

5. You acknowledge and agree to authorize DBiM to protect the rights of content and information that infringes intellectual property rights in its own name or by entrusting a professional third party. The forms of protection include but are not limited to: monitoring infringements, sending protection letters, filing lawsuits or arbitration, mediation, settlement, etc. DBiM has the right to make independent decisions and implement protection matters.

6. Except as otherwise provided by law, no organization or individual may illegally copy, disseminate, display, mirror, upload, download, reprint, quote, link, crawl or otherwise use the information content and related materials on the DBiM platform in whole or in part in any manner without the separate and explicit written permission of DBiM . Otherwise, DBiM has the right to pursue its legal liability.

7. The following contents on the DBiM platform cannot be reproduced at will:

1) All information published on this platform;

2) Content that has been declared not to be reproduced or not to be reproduced without permission;

3) Graphics, logos, page styles, layout methods, programs, etc. unique to this platform;

4) Content on this platform that can only be accessed by those with special authorization or registered user qualifications;

5) Other content that is not permitted by law or that this platform deems inappropriate for reprinting.

8. DBiM does not assume any legal responsibility for any disputes or losses caused by improper citation of DBiM platform content. DBiM reserves the right to pursue legal responsibility for users who do not comply with this statement or other users who use DBiM platform content illegally or maliciously .

XI. Applicable Law, Jurisdiction and Others

1. The conclusion, validity, interpretation, revision, execution and dispute resolution of this Agreement shall be subject to the basic principles of international commercial law and the laws of the place where the user's main business is related; if there is no clear legal provision for a specific matter, the United Nations Principles of International Commercial Contracts and cross-border digital service industry practices shall prevail.

2. If any provision of this Agreement is deemed to be repealed, invalid or unenforceable, such provision shall be deemed to be divisible and shall not affect the validity and enforceability of the remaining provisions of this Agreement.

3. In case of any dispute arising out of this Agreement, the Parties shall first conduct friendly negotiation through the International Chamber of Commerce (ICC) Mediation Rules. If the negotiation fails, the dispute shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for final arbitration in accordance with the UNCITRAL Arbitration Rules.
